End User License Agreement The Ultimate Balloon Studio · AB Event Decor LLC Version 1.0. Effective October 1, 2026. IMPORTANT — PLEASE READ THIS AGREEMENT BEFORE INSTALLING OR USING THE SOFTWARE. This End User License Agreement (this “Agreement”) is a contract between you, either individually or on behalf of the entity for which you install or use the Software (“You”), and AB Event Decor LLC, a Vermont limited liability company, together with its owners, officers, employees and contractors (“Licensor,” “we,” “us” or “our”). It governs your installation and use of The Ultimate Balloon Studio, including its documentation and any updates we make available (together, the “Software”). You accept this Agreement by clicking “I Agree” during installation, or by installing, copying or using the Software. If You do not agree, do not install or use the Software, and You may request a refund under Section 16. This Agreement is available on the product page before purchase, is presented for acceptance during installation, and is installed in your program folder as END_USER_LICENSE_AGREEMENT.txt, alongside THIRD_PARTY_NOTICES.txt, LGPL_COMPLIANCE.txt, LGPL-3.0.txt and GPL-3.0.txt. If You are accepting on behalf of an organization, You represent that You have authority to bind that organization. 1. What the Software is, and what it is not The Software is a design, visualization and planning tool for balloon decor. It helps You lay out arches, columns, walls, panels and organic designs, estimate material quantities, produce build plans and prepare presentation mockups for clients. The Software is not an engineering tool. It does not perform structural analysis, load calculation, rigging certification, weight-and-balance certification or safety analysis, and it is not a substitute for professional judgment. Its numeric and graphical output consists of estimates and approximations produced from simplified models, rounded reference values and the information You enter. It is intended to support planning, not to be relied on directly for fabrication, rigging or installation. Section 6 sets this out in detail and Section 7 sets out the responsibilities that go with it. This Section describes what You are buying. We publish it on the product page so that You can read it before You purchase. 2. License grant Subject to your compliance with this Agreement and payment for the Software, Licensor grants You a perpetual, non-exclusive, non-transferable and non-sublicensable license to install and use the Software for your own business or personal purposes in connection with balloon decor design, planning, visualization and related event preparation. Perpetual means that this license does not expire and requires no recurring payment. It may be terminated only as set out in Section 15. Unless we agree otherwise in writing, each license key permits use by one individual user, or one business seat, on up to two devices owned or controlled by that user or business, for that license holder’s own use. A license key may not be shared with unrelated users, posted publicly, resold, sublicensed, or used to enable simultaneous or pooled use beyond the licensed seat. If You need access for additional users, employees, contractors or devices beyond this limit, You must obtain additional licenses from Licensor. As between You and Licensor, You own the designs, layouts, build plans, mockups and files that You create using the Software. This Agreement gives Licensor no rights in your designs or in your customers’ information. 3. License keys, activation and continuity Your license key is delivered by the Distribution Platform described in Section 17. Activating or validating a license key may require an internet connection. The information the Software sends when it does so, and the information it does not send, are described in Section 12 and in the Privacy Notice. Where the licensing platform provides self-service tools for deactivating or reassigning devices, You are responsible for using them for ordinary device changes. We will assist with reasonable activation or reset requests arising from hardware failure, an inaccessible previous device, account problems or similar circumstances. That assistance does not enlarge the license granted under Section 2. Because You have purchased a perpetual license, we commit to the following: (a) If a license or activation service is unreachable, the Software will continue to operate for a grace period rather than lock You out of a copy You have validly licensed. (b) If Licensor ceases to operate license validation for the Software, whether because the Software is discontinued or for any other reason, Licensor will make available a build or a method that allows a licensed copy to continue to be used without activation. (c) Licensor will not use license enforcement to disable a validly licensed copy except on termination for cause under Section 15. 4. Restrictions Except as expressly permitted by this Agreement or by applicable law, You may not: (a) copy, distribute, rent, lease, lend, sell, sublicense or otherwise transfer the Software or any license key to a third party; (b) reverse engineer, decompile, disassemble or attempt to derive the source code of the Software; (c) modify, adapt, translate or create derivative works of the Software; (d) remove, alter or obscure any proprietary notice in or on the Software, including the notices described in Section 5; (e) circumvent or attempt to circumvent any license key, activation or usage limit; (f) use the Software to develop a competing product; or (g) use the Software in violation of applicable law. The restrictions in this Section 4 do not apply to the Open Source Components described in Section 5. Your rights in those components are governed exclusively by their own licenses. Nothing in this Agreement restricts your right to modify those components, to reverse engineer them for the purpose of debugging your modifications, or to use, copy or redistribute them in accordance with the licenses that govern them. 5. Open source components The Software is distributed together with third-party components that are licensed to You separately, not under this Agreement (the “Open Source Components”). They are identified in THIRD_PARTY_NOTICES.txt in your installation folder. The Qt 6 libraries, the PySide6 binding modules and shiboken6 are licensed under the GNU Lesser General Public License, version 3. Complete copies of the GNU General Public License, version 3 and of the GNU Lesser General Public License, version 3 are installed in your installation folder as GPL-3.0.txt and LGPL-3.0.txt. Other components are licensed under permissive terms identified in the notices file. The Software is installed as a folder of separate files rather than a single bundled executable, so that You may replace the LGPL-licensed libraries with your own compatible builds. LGPL_COMPLIANCE.txt explains how to obtain the corresponding source code for the versions we ship and how to carry out that replacement. Nothing in this Agreement limits, overrides, restricts or conditions any right granted to You under the license of any Open Source Component. If any term of this Agreement conflicts with the license of an Open Source Component, that license controls as to that component. 6. Estimates, calculations and outputs YOU ACKNOWLEDGE AND AGREE THAT ALL DIMENSIONS, COUNTS, LAYOUTS, VISUAL RENDERINGS, MATERIAL LISTS, HELIUM CALCULATIONS, WEIGHT AND LIFT FIGURES, STRUCTURE SIZES AND OTHER NUMERIC OR GRAPHICAL OUTPUT PRODUCED BY THE SOFTWARE ARE ESTIMATES AND APPROXIMATIONS. THEY ARE PROVIDED FOR PLANNING PURPOSES AND MAY BE INACCURATE, INCOMPLETE, OUTDATED OR UNSUITABLE FOR YOUR PARTICULAR APPLICATION. YOU MUST INDEPENDENTLY VERIFY EVERY VALUE BEFORE RELYING ON IT. The following examples are illustrative rather than exhaustive: (a) Arch and column structures. Reported widths, heights, spans, cluster and row counts, spacing, curvature, tangential layout refits, painted balloon sizes and overall dimensions are mathematical and visual approximations based on simplified models, default assumptions, screen scaling and your inputs. Built structures may differ because of manufacturer tolerances, inflation variance, temperature, humidity, altitude, handling, tying method, frame hardware and installation technique. (b) Helium and lift calculations. Helium volume, lift capacity, weight required, bouquet counts, base-cluster settings and related figures are derived from reference charts, rounded values, assumed inflation sizes and simplified formulas. They do not account for every real-world variable, including under- or over-inflation, balloon quality, altitude, temperature, ribbon weight, attachments, treatment products, condensation, leakage, elapsed time since inflation, non-standard balloon types and mixed materials. A small difference in weight or gas volume may affect float time or safety margin. (c) Wall, link wall and panel layouts. Estimated widths, heights, balloon counts, duplet and link configurations and on-canvas scaling are planning aids and may not reflect finished installed dimensions. (d) Build plans and blueprints. Exported build plans, numbered cluster diagrams, portrait and landscape layouts and column blueprints are instructional references for experienced installers. They are not engineered drawings, stamped plans or site-specific specifications. Balloon identity numbers, pairings and layouts may not match field conditions after inflation or handling. (e) Scene builder, mockups and exports. Composited scenes, background images, exported images and on-screen presentations are for sales and design visualization only. They do not represent installed appearance, lighting, color accuracy, scale at the venue or structural feasibility. (f) Organic designs, add-in designer and user imports. Freehand layouts, add-in elements, imported images, vinyl and foil treatments and custom graphics are user-directed creative tools. Licensor does not warrant print quality, color fidelity, trademark compliance, copyright clearance or fitness of content You supply. (g) Color palettes and brand references. On-screen colors, including palette references to manufacturer color names, are approximations of physical balloon colors and vary with monitor calibration, lighting, production batch and manufacturer changes. (h) Availability of balloons, colors, sizes and foils. References to particular colors, finishes, sizes, brands, foil shapes or other materials are provided on a best-effort basis for planning. Licensor does not represent that any color is available in every size, format or product line, that a manufacturer will continue to offer a referenced item, or that any depicted combination is commercially available. Certain foil visuals, mockups, shapes or styles may be artist-created or generalized and may not correspond to an exact real-world product or vendor listing. You are responsible for verifying product availability, specifications, substitutions and sourcing before quoting, ordering, selling or building any design. (i) Saved designs and portfolio files. Files saved to vault, portfolio or project files may not reload identically across versions of the Software, operating systems or hardware, and should be reviewed before client delivery or installation. 7. Safety, regulatory and venue compliance You are solely responsible for the safe design, installation, operation and removal of all balloon decor and related structures. Without limitation, You are responsible for: (a) compliance with applicable federal, state, local and venue-specific laws, codes, fire regulations, occupancy rules and insurance requirements; (b) safe handling, storage and disposal of helium and other gases in accordance with applicable regulations and manufacturer instructions; (c) adequate anchoring, rigging, weighting and structural support for arches, columns, walls, ceiling work, outdoor installations and helium arrangements; (d) assessment of ceiling loads, wind, weather, HVAC, sprinklers, proximity to heat sources and other environmental hazards; (e) supervision of minors and public safety at events; and (f) obtaining any required permit, approval or engineering sign-off. THE SOFTWARE DOES NOT PERFORM SAFETY ANALYSIS. FAILURE TO INDEPENDENTLY VERIFY DESIGNS AND INSTALLATIONS MAY RESULT IN PROPERTY DAMAGE, PERSONAL INJURY OR DEATH. 8. Intellectual property The Software, including its code, graphics, user interface, documentation, build-plan layouts, reference assets and algorithms, is owned by Licensor and its licensors and is protected by copyright, trademark, trade secret and other intellectual property laws. No ownership right is transferred to You. This Section does not apply to the Open Source Components, which are owned by their respective authors and licensed as described in Section 5, and it does not apply to your own designs, which are addressed in Section 2. Third-party balloon brand names, color references and trademarks appearing in the Software are the property of their respective owners and are used for identification and reference only. Licensor is not affiliated with, endorsed by or sponsored by any balloon manufacturer. 9. Limited warranty, disclaimer, and your statutory rights 9.1 Limited warranty. For thirty (30) days after your purchase, Licensor warrants that the Software will perform substantially in accordance with its documentation when installed on a supported system. If it does not, and You notify us within that period at the address in Section 20, we will at our option correct the problem, provide a replacement, or refund what You paid. If we do not do one of those within a reasonable time, You may obtain a refund. 9.2 Exclusions from the limited warranty. The limited warranty does not apply to problems caused by your hardware or operating system, by software not supplied by Licensor, by modification of the Software, by use contrary to this Agreement or the documentation, or by conditions outside Licensor’s reasonable control. 9.3 Disclaimer. EXCEPT FOR THE LIMITED WARRANTY IN SECTION 9.1, AND SUBJECT TO SECTION 9.4, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. 9.4 Your statutory rights are not affected. Some jurisdictions do not permit the exclusion or modification of implied warranties, or of a consumer’s remedies for their breach. Vermont is one of them: under 9A V.S.A. § 2-316(5), language attempting to exclude or modify the implied warranties of merchantability and fitness for a particular purpose, or the consumer’s remedies for their breach, is unenforceable in the sale of new or unused consumer goods or services, and “consumer” for that purpose includes a person who purchases for the use or benefit of that person’s business rather than for resale. To the extent applicable law does not permit an exclusion or modification, Section 9.3 does not apply to You, the implied warranties apply, and your remedies for their breach are not limited by this Agreement. Nothing in this Agreement excludes or limits any right or remedy that cannot lawfully be excluded or limited. 9.5 How the implied warranty is measured. Where an implied warranty of merchantability applies, it requires that the Software be fit for the ordinary purposes for which software of its kind is used. The ordinary purpose of this Software is the design, visualization and planning use described in Sections 1 and 6. It does not include engineering, structural, load, rigging or safety determination, and the Software is neither offered nor sold for those purposes. 10. Limitation of liability 10.1 Exclusion of indirect damages. SUBJECT TO SECTION 10.3, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR ANY OTHER THEORY, AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 10.2 Cap. SUBJECT TO SECTION 10.3, LICENSOR’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT YOU PAID FOR THE SOFTWARE OR ONE HUNDRED U.S. DOLLARS (US $100.00). 10.3 What this Section does not limit. Sections 10.1 and 10.2 do not apply to, and nothing in this Agreement limits Licensor’s liability for: (a) death or personal injury; (b) fraud, fraudulent misrepresentation, or willful or intentional misconduct; (c) a remedy for breach of an implied warranty, where applicable law does not permit that remedy to be excluded or modified, as described in Section 9.4; (d) attorney’s fees or exemplary damages recoverable under 9 V.S.A. § 2461(b) or a comparable consumer protection statute, which by their terms may not be excluded or modified by contract; or (e) any other liability that cannot lawfully be limited or excluded. 10.4 Severability of this Section. If any part of this Section 10 is held unenforceable, that part will be limited or severed to the minimum extent necessary, and the remainder of this Section will continue to apply to the maximum extent permitted by law. 11. Indemnification You agree to defend, indemnify and hold harmless Licensor and its owners, officers, employees and contractors from and against third-party claims, demands, suits, damages, liabilities, losses, costs and expenses, including reasonable attorney’s fees, arising out of or relating to: (a) your use of the Software or reliance on its output; (b) your balloon decor designs, installations or event services; (c) your breach of this Agreement or violation of applicable law; (d) your infringement of a third party’s intellectual property or other rights; or (e) injury, death or property damage alleged to result from a design or installation planned or produced using the Software. This obligation does not apply to the extent a claim arises from Licensor’s own breach of this Agreement, negligence or intentional misconduct, and it does not require You to indemnify Licensor against liability for which You are not legally responsible. Licensor will give You prompt written notice of a claim, will allow You to control the defense with counsel reasonably acceptable to Licensor, and will provide reasonable cooperation at your expense. You may not settle a claim in a way that imposes an obligation or admission on Licensor without Licensor’s written consent, which will not be unreasonably withheld. Licensor may participate in the defense with its own counsel at its own expense. 12. Privacy and data The Software stores your preferences, saved designs, portfolio files and imported images locally on your device. Licensor does not receive them. You are responsible for maintaining backups of designs and client materials, and Licensor does not warrant the security or recoverability of files on your device. If license activation, license validation or update checking is enabled in the version You are using, the Software sends limited technical and licensing information, such as your license key, the application version, an activation identifier and routine network metadata, to Licensor’s licensing and update service providers, in order to administer access, deliver update information, prevent abuse and support the Software. Your designs, portfolio contents and imported images are not sent as part of license or update checks. The Privacy Notice supplied with the Software and published on the product page describes this in full, including what is collected, who receives it, how long it is kept and how to exercise your rights. It forms part of this Agreement. Licensor does not sell personal information, does not use the Software for advertising or behavioral analytics, and does not use your personal data or your designs to train large language models or other AI models. 13. Updates and changes to the Software Licensor may make updates available at its discretion. You are not required to install them, and the version You have licensed will continue to function subject to Section 3. Updates may change functionality, calculations or output. Where an update materially changes how a calculation or estimate is produced, Licensor will describe the change in the release notes accompanying that update. You should review saved designs after installing an update, as described in Section 6(i). 14. Changes to this Agreement The version of this Agreement that You accepted when You installed the Software governs that installation. Licensor may issue revised terms with a later version of the Software. Revised terms apply only to versions that You choose to install after those terms take effect, and will be presented to You for acceptance at that time. If You do not agree to revised terms, You may decline them by not installing that version, and You may continue to use the version You have under the terms You accepted. Licensor will not change the terms applying to a copy already licensed to You. 15. Term and termination This Agreement takes effect when You accept it and continues until terminated. You may terminate at any time by ceasing use of the Software and removing it from your devices. Licensor may terminate this Agreement if You materially breach it and the breach remains uncured thirty (30) days after Licensor gives You written notice describing it. Licensor may terminate immediately, without that notice period, only if You copy, distribute, resell or sublicense the Software or a license key in breach of Section 4(a), or circumvent a license control in breach of Section 4(e). Licensor may also terminate this Agreement, and deactivate the associated license key, if payment for the Software is reversed, charged back or refunded. On termination, your license ends and You must cease use of the Software and destroy the copies in your possession or control. Termination by Licensor for cause does not entitle You to a refund. Termination does not affect rights or liabilities that accrued before it. Sections 5, 6, 7, 8, 9.3, 9.4, 9.5, 10, 11, 12, 17, 18 and 19 survive termination. 16. Refunds If the Software is not what You expected, You may request a refund within fourteen (14) days of purchase by contacting Licensor at the address in Section 20, and Licensor will approve it. This is in addition to, and does not replace, the limited warranty in Section 9.1 and any statutory right You may have. If a refund is issued, your license under Section 2 ends, your license key may be deactivated, and You must cease use of the Software and remove it from your devices. Refunds are processed by the Distribution Platform described in Section 17, which handles payment, and may take a short period to appear on your statement. 17. Purchase and distribution The Software is offered for purchase and download through a third-party distribution platform, currently Polar (www.polar.sh), which acts as merchant of record for the sale (the “Distribution Platform”). AB Event Decor LLC is the Licensor of the Software wherever You obtain it. If You purchase through the Distribution Platform: (a) payment, checkout, delivery of license keys and download links, refunds, chargebacks and tax collection are processed under that platform’s terms and policies in addition to this Agreement, and where the platform acts as merchant of record it may process the sale in its own name while granting You access to the Software from Licensor; (b) the Distribution Platform is not a party to this Agreement and is not responsible for the Software, its output or Licensor’s obligations, except as stated in that platform’s own terms; (c) this Agreement is made available on the product page before purchase and is presented for acceptance at installation, and it governs your use of the Software from the point You install or use it; and (d) questions about billing or order status should go to the Distribution Platform, and questions about the Software should go to Licensor using the details in Section 20. Licensor’s website, www.abeventdecor.com, is provided for company information and support contact. The Software is not necessarily hosted on or downloaded from that website. 18. Governing law, venue, and waivers 18.1 Governing law and venue. This Agreement is governed by the laws of the State of Vermont, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to this Agreement or the Software will be brought exclusively in the state or federal courts located in Chittenden County, Vermont, and You consent to personal jurisdiction and venue there. Nothing in this Section deprives You of the protection of any mandatory consumer protection provision of the law of the place where You reside that applies to You and cannot be varied by agreement. 18.2 Small claims. Either party may bring an individual claim in a small claims court of competent jurisdiction instead of proceeding under Section 18.1. 18.3 Jury and class action waivers. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LICENSOR EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION OR REPRESENTATIVE PROCEEDING. This Section 18.3 does not apply where applicable law does not permit such a waiver, and does not apply to any claim or remedy that applicable law provides may not be waived. If any part of this Section 18.3 is held unenforceable, that part will be severed and the remainder of this Agreement, including Sections 18.1 and 18.2, will continue in full force. 19. General (a) Entire agreement. This Agreement, together with the Privacy Notice, is the entire agreement between You and Licensor about the Software and supersedes prior understandings on that subject. It does not govern the Open Source Components, which are licensed to You separately as described in Section 5. (b) Order of precedence. If there is a conflict, the license of an Open Source Component controls as to that component; then this Agreement; then the Privacy Notice. (c) Severability and reformation. If a provision is held invalid or unenforceable, it will be limited or reformed to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions continue in full force. (d) No waiver. A failure to enforce a provision is not a waiver of it or of any other provision. (e) Assignment. You may not assign this Agreement without Licensor’s written consent, except that You may transfer it together with the sale of all or substantially all of the business in which the Software is used, on written notice to Licensor. Licensor may assign this Agreement in connection with a merger, reorganization or sale of its business or assets. (f) Export. You agree to comply with applicable export control laws. (g) U.S. Government users. If acquired by or for the U.S. Government, the Software is “commercial computer software” subject to restricted rights under applicable federal regulations. (h) Notices. Notices to Licensor go to the address in Section 20. Notices to You may be given at the email address associated with your purchase. (i) Headings. Headings are for convenience and do not affect interpretation. 20.
